These Terms of Service (“Terms”) are a binding agreement between you (referred to herein as “the User”, “You” or “Your”) and Getverify LDA, a company incorporated under the laws of Portugal, located at Avenida do Infante, no. 50, 9004-521 Funchal, Madeira, Portugal and where applicable its subsidiaries, affiliates and related corporations (referred to herein as “Call io”, “the Company”, “we”, “us” or “our”), concerning your access to and use of Call io’s Services (as defined below) via Call io website, related features and services, and other linked channels, mobile websites or applications (collectively, the “Platform”).

BY ACCESSING THE PLATFORM, USING THE SERVICES, OR CLICKING “AGREE” OR “CONTINUE” YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT, YOU MUST NOT USE THE PLATFORM OR SERVICES. THE SERVICES ARE INTENDED FOR INDIVIDUALS 18+ WITH CAPACITY TO CONTRACT. IF YOU DO NOT AGREE WITH THE TERMS, YOU SHOULD IMMEDIATELY DISCONTINUE USING THE PLATFORM AND SERVICES.

We can be accessed through various locations and jurisdictions. You are solely responsible for compliance with Applicable Laws in each location where you access or use the Services. Do not use the Services where such use would be unlawful or require registration or licensing that we do not hold.

You may not use this Platform and Services if you: (i) do not agree to these Terms; (ii) are not of the age or have the capacity to be bound by these Terms in Your jurisdiction of residence; or (iii) are prohibited from accessing or using this Platform or Services or any of this Platform’s contents, products or services by applicable law.

The Service does not provide access to any emergency calling capability, including but not limited to 911, 112, 999, 000, or their equivalents in any jurisdiction. The Service is not intended or suitable for placing calls to emergency services, public safety answering points, law enforcement, fire departments, medical response units, or other similar agencies. You must maintain alternative means of communication capable of placing emergency calls. You acknowledge and agree that Call io shall have no liability for any inability to access emergency services via the Service.

Call io provides an AI-powered inbound call assistant that operates through call forwarding activated on the User’s own mobile operator line and through telecommunications connectivity provided by Call io’s Telco Partners, together with internet connectivity supplied by the User. The Service includes AI-based caller interaction and call answering on Your behalf, call filtering, automated call management rules, and spam/fraud signalling. Call io relies on Telco Partners, the User’s mobile operator, and third-party AI processors to deliver the Service and does not itself provide any mobile, fixed-line, or licensed telecommunications service. The Service does not support or enable any emergency calling. Only individuals 18+ with legal capacity may use the Service.

With the acceptance of these Terms, You further acknowledge that You have read and understood Our policies in the Call io Platform, including but not limited to the Privacy PolicyCookie PolicyPayment, Cancellation and Refund Policy[A.D.2] and other policies and notifications (collectively be referred to as “Policies”) that may be amended from time to time on the Call io Platform. These Policies are an integral and inseparable part of these Terms. Violation of the principles stated in these Policies is equivalent to a violation of these Terms.

You assume all risk and responsibility for compliance with any applicable telecommunications, data privacy, consumer protection, export control, or other local and international laws associated with Your use of the Service.

  1. Defined Terms and Interpretation

 

  1. Capitalized terms used in these Terms shall have the meanings set forth in this Section or, where the context so requires, as expressly defined in other parts of these Terms. Any definition introduced elsewhere in these Terms shall apply equally throughout the entire document unless the context requires otherwise. Singular terms include the plural and vice versa; references to “including” shall mean “including without limitation.”

 

  1. For purposes of these Terms:

 

“Acceptable Use Policy” means the policy governing permitted and prohibited uses of the Services, as published and updated by Call io from time to time, which is incorporated into these Terms by reference.

 

“AI Assistant” means the artificial intelligence–based virtual assistant operated by Call io and its third-party AI providers, which interacts with callers, applies call-management rules, generates summaries, classifications and outputs, and performs other assistant functions on the User’s behalf.

 

“Assistant Outputs” means any AI-generated results produced by the AI Assistant, including responses, summaries, classifications, flags, call-handling decisions, text outputs, and memory items.

 

Applicable Laws” means all laws, regulations, orders, and industry obligations relevant to your access or use.

 

“Call Management” means the set of rules and automated call-handling actions configured by the User on the Platform, including AI-assisted call answering, call rejection, call filtering, conditional routing, voicemail redirection, caller interaction, and any other call-handling functionality supported by the Services. Call Management actions may include the AI Assistant answering, interacting with, responding to or terminating calls, and enabling the User to listen to a call in real time, join and take over a call, or end a call, in each case in accordance with the User’s configuration and Applicable Law.

 

Cookie Policy” means the cookie and tracking technologies policy of Call io, as published and made available on the Platform and updated from time to time, which explains the types of cookies and similar technologies used on the Platform, their purposes, and how users can manage their preferences. The version of the Cookie Policy in force at the time of access or use shall apply.

 

Payment, Cancellation and Refund Policy” means Call io’s policy, as published and made available on the Platform and updated from time to time, which sets forth the terms and conditions governing payment methods, billing, cancellation, credit expiration, and refund procedures for the Services. The version of the Payment, Cancellation and Refund Policy in force at the time of the relevant transaction shall apply.

 

“Platform” means Call io websites, web interfaces, and applications we operate.

 

Privacy Policy” means the privacy policy of Call io, as published and made available on the Platform and updated from time to time, which governs the collection, processing, storage, and disclosure of personal, technical, and usage data in connection with the Platform and the Services. The version of the Privacy Policy in force at the time of access or use shall apply.

 

Provider(s)” means third-party carriers, network operators, Numbering Providers, upstream telecommunications suppliers, AI model providers, cloud-infrastructure providers, payment processors, identity-verification partners, and other technology partners used in connection with the Services.  

 

“Policies” means the Privacy Policy, Acceptable Use Policy, Cookie Policy, Subscription and Billing Rules, and any other documents referenced in these Terms or published on the Platform.

 

“Services” means the AI-powered inbound call-assistant service provided by Call io, which operates through call forwarding activated on the User’s mobile operator line and, where applicable, telecommunications connectivity provided by Call io’s Telco Partners, and which relies on the User’s internet connection and third-party AI processors for the delivery of assistant functionality. The Services do not support emergency calling and Call io is not a telecommunications operator.

 

Subscription Plan” means the paid subscription model under which Users obtain access to the Services, including the applicable usage rights, feature tiers, limitations, and renewal rules described on the Platform.

 

Merchant of Record” means Zotlo (Z3P LLP) or any other duly appointed payment, billing, or sales intermediary engaged by Call io to process payments, issue invoices, or act as reseller of record for transactions made through the Platform. The Merchant of Record operates in accordance with these Terms and any applicable order confirmation, invoice, or accompanying agreement.

 

“Memory” means structured or unstructured information retained by the AI Assistant to personalize call-handling actions, which may include User-defined preferences, caller-specific rules, behavioral patterns, or call-history-derived items.

 

“Telco Partners” means the telecommunications carriers, operators, aggregators or connectivity providers used by Call io to receive and route forwarded calls, apply call-handling logic, and otherwise support technical delivery of the Services.

 

“Third-Party AI Providers” means artificial intelligence model providers engaged by Call io to process caller interactions, generate assistant outputs, and perform other computational tasks as part of the Services.

 

Users” mean, individuals who access or use the Services through your account, integrations, or applications.

 

“User Content” means any data provided or generated through the User’s use of the Service, including caller metadata, assistant interactions, summaries, classifications, preferences, call-management rules, Memory items, and any other information the User inputs or that is produced on the User’s behalf.

 

Assistant Number” or “Second Number” means a virtual or telecommunications number made available to a User through Call.io or its Providers for use with the AI Assistant, including receiving calls answered by the AI Assistant and where enabled, placing Assistant-initiated outbound calls. An Assistant Number is licensed for limited use only and is not sold, transferred, ported, or owned by the User.

 

“Token” means a prepaid, non-monetary, non-transferable usage unit that may be purchased by the User and automatically consumed for eligible usage after the relevant Subscription Plan Usage Limit has been exhausted. Tokens are not electronic money, stored value, a wallet balance, a payment instrument or cash equivalent.

 

“Usage Limit” means any plan-specific allowance, quota, cap or limitation applicable to calls, outbound calls, AI processing, assistant minutes, summaries, Memory or any other paid or limited feature.

 

“Grace Period” means a limited period after a failed subscription renewal during which Call.io may where technically and commercially enabled, continue access to some or all paid features while payment recovery is attempted.

 

“Suspended Number” means an Assistant Number placed into a non-active, restricted or reserved state following cancellation, expiration, non-renewal, payment failure, chargeback, account restriction or similar event.

 

“Outcall” means an outbound voice call placed by the AI Assistant on the User's instruction, originating from the User's Assistant Number and routed through Call.io's Telco Partners.  

 

“Custom Greeting” means any User-configured text, script, phrase, opening message, closing message or similar content that the AI Assistant may use when answering, handling or ending calls.

 

“Usage Limit” means the per-cycle quantitative cap on a particular Service usage component (such as assisted calls, AI interactions, outcalls, Memory size, or other parameters) made available under a Subscription Plan.  

 

Numbering Provider” means a Telco Partner, carrier or numbering aggregator engaged by Call.io to provision, assign, retain, suspend, reactivate, recycle or release Assistant Numbers, including local numbers in jurisdictions where Call.io has the relevant arrangements in place.  

 

Provider(s)” means third-party carriers, network operators, Numbering Providers, upstream telecommunications suppliers, AI model providers, cloud-infrastructure providers, payment processors, identity-verification partners, and other technology partners used in connection with the Services.  

 

 

  1. Description of Services and Fees 

 

  1. The Services consist of an AI-powered call assistant that (i) handles incoming calls forwarded to Call.io through call forwarding configured on the User's mobile operator line or, where supported, addressed directly to an Assistant Number provisioned to the User; (ii) where supported, places outbound calls ("Outcall") on the User's instruction from the User's Assistant Number; and (iii) generates Assistant Outputs, applies User-configured Call Management rules, and signals potential spam or fraud. The Services rely on (a) the User's mobile operator (where forwarding is used), (b) Call.io's Telco Partners and Numbering Providers, (c) Third-Party AI Providers, and (d) the User's internet connection. Call.io is not a telecommunications operator and does not assign SIM, eSIM, mobile data, SMS or MMS services. The provisioning of an Assistant Number, where supported, is governed by Section X (Assistant Number) and does not transform Call.io into a telecommunications operator.

 

  1. When an incoming call is forwarded, the AI Assistant answers and/or interacts with the caller, applies the User’s Call Management rules, generates summaries and Assistant Outputs, and may take actions such as answering, rejecting, filtering, flagging, or responding to calls on behalf of the User. The AI Assistant’s call answering, caller interaction and call-handling actions are executed solely as part of the User-configured Call Management settings. The Service may identify or signal potential spam or fraud based on internal and external data sources. All AI processing, including generation of summaries, responses, classifications, call-handling decisions and Memory items, is performed by Call io and Third-Party AI Providers acting on behalf of the User.

 

  1. The User must maintain active call-forwarding settings on the User’s operator line and a stable internet connection for the delivery of assistant functionality. Carrier-level call forwarding, voicemail redirection, USSD activation, SMS verification and similar functions are executed by the User’s mobile operator and/or Call io’s Telco Partners; Call io merely triggers such processes and does not control their technical execution, pricing, reliability or performance. The User is solely responsible for all charges imposed by the User’s operator or by Telco Partners, including forwarding fees, SMS costs, USSD charges or similar carrier-level costs.

 

  1. The Services are provided through Subscription Plans that define the scope of available features, usage limitations, capacity, and billing cycles. Subscription Plans may include caps on the number of assisted calls, AI interactions, Memory size, or other usage parameters, as described on the Platform.

 

  1. The Services do not support or enable emergency calling of any kind (including 112, 911, 999 or equivalent numbers). The User must maintain alternative means to contact emergency services. Call io does not assign telephone numbers, does not provide inbound phone numbers, and does not provide SMS, MMS, mobile data, SIM, eSIM or any regulated telecommunications services. Call.io does not operate as a telecommunications carrier and does not sell telephone numbers to Users. However, where made available, Call.io or its Providers may assign, reserve, configure or make available an Assistant Number for limited use with the AI Assistant during an active Subscription Plan and subject to these Terms.

 

  1. The Platform provides an interface where You can view your recent call activity as processed through the AI Assistant, including call summaries, classifications and call-handling actions applied on Your behalf, monitor Your Subscription usage and any applicable feature or capacity limits under Your current Plan, manage Your Memory and call-management preferences, and update Your account and device settings. The Platform does not display carrier rates or balances, as all carrier-level charges (including call-forwarding or operator fees) are determined solely by Your mobile operator or the applicable Telco Partner and fall outside Call io’s control.

 

  1. From time to time, the Platform or the Services may receive automatic updates, including bug fixes, enhancements, and new features, to maintain compatibility and performance. By using the Services, You agree to receive and install such Updates without additional notice.

 

  1. Where the User wishes to direct calls to the AI Assistant from the User's own mobile operator line, the User may select between (i) Conditional Forwarding, or (ii) Unconditional Forwarding. The selection between forwarding modes is the sole responsibility of the User. Carrier-level forwarding configuration, USSD activation, voicemail redirection and any related operator-side settings are executed by the User's mobile operator and are not under Call.io's control. The User is solely responsible for all carrier fees, technical limitations, USSD failures, forwarding outages and for disabling forwarding when the User stops using the Service.

 

  1. To access and fully utilize the Services, You must maintain a compatible mobile device, an active mobile operator line capable of supporting call forwarding or conditional forwarding, and a stable internet connection for AI processing and Platform functionality. Service performance may be affected by device capabilities, carrier features, call-forwarding availability, network conditions, and Platform requirements. You are solely responsible for ensuring that Your device, operator line, and connectivity meet these prerequisites. Compatibility may vary by device model, operating system version, carrier, and country of origin, and Call io does not warrant compatibility for any specific device, operator configuration, or call-forwarding setup.

 

  1. To use the Service, You must have a compatible mobile device capable of supporting call forwarding, conditional forwarding, voicemail redirection, and data connectivity. You must also maintain a stable internet connection for AI processing and Platform functions. Call io is not responsible for call or activation failures resulting from device settings, carrier restrictions, network blocks, forwarding limitations, or incompatible device–carrier combinations. Call io disclaims all liability for forwarding failures, device-level restrictions, operator provisioning errors, or issues arising from unsupported devices or carrier configurations.

 

  1. The Service operates on a subscription model. Subscription prices, billing cycles, included usage rights (if any), and any plan-specific limitations are displayed within the Platform. Pricing may be updated from time to time. You are responsible for reviewing current subscription terms prior to renewal. If usage-based or quota-based allotments are made available under a plan (e.g., minutes, AI actions, translation quotas, call summaries), any overage or depletion effects are governed by the applicable subscription description.

 

  1. The Services depend on third-party telecommunications operators, mobile carriers, AI model providers, cloud infrastructure providers, and other upstream technical or connectivity partners (collectively, “Providers”). Providers may, at any time and without notice, change features, restrict or block call forwarding, alter routing, suspend connectivity, modify AI processing capabilities, change pricing, or discontinue support for certain regions, networks, or functionalities. If any Provider materially changes, restricts, or disables functionality necessary for the operation of the Service, or otherwise makes continued delivery commercially or technically impracticable, Call io may modify, suspend, or discontinue the affected portion of the Service. Call io will use commercially reasonable efforts to notify affected Users. Except for any discretionary account credit offered by Call io, You waive all other claims (including indirect, consequential, special, reliance, expectation, or loss-of-profit damages) arising from Provider changes, failures, limitations, or unavailability.

 

  1. To the extent the Service relies on Telco Partners or Your own mobile operator, You expressly acknowledge that carrier pricing, forwarding features, activation flows, USSD capabilities, or conditional forwarding rules may change at any time. You accept in advance any such carrier-level changes and agree that Your sole remedy, if any, shall be a discretionary account credit applied by Call io. No refund or additional remedy shall be provided unless Call io expressly agrees in writing.

 

  1. Call io is not a telecommunications operator and does not provide or control mobile network connectivity, call delivery, call routing, SMS delivery, voicemail systems, or USSD activation. Call io functions solely as an AI-based value-added service layered on top of carrier infrastructure. All call routing, delivery, forwarding, and network performance originate from Your mobile operator or applicable Telco Partners. Call io assumes no liability for network disruptions, forwarding failures, carrier blocks, routing errors, quality degradation, or service limitations caused by third-party networks.

 

  1. When using the Services in any country, You are responsible for ensuring compliance with all local telecommunications, privacy, call-recording, and AI-use regulations. Call io makes no representation regarding the legality or operability of the Services in Your jurisdiction and disclaims all implied warranties to the extent permitted by law. You assume all risk of unlawful use and agree to indemnify Call io for any violation of local law, including caller-consent requirements where applicable.

 

  1. Call io may modify, suspend, or discontinue portions of the Services at any time. Material changes will be communicated through the Platform or via the contact details associated with Your account. Continued use of the Services after any modification constitutes acceptance of the updated Services.

 

  1. Call io does not provide telecommunication services such as inbound calling, SMS, MMS, data services, or voice transport. The Service consists solely of AI-based call handling triggered through call forwarding configured on Your mobile operator line. The Service does not support any form of emergency calling (e.g., 112/911/999). You must maintain alternative means to contact emergency services.

 

  1. Caller interaction performed by the AI Assistant is generated in real time based on call metadata and the forwarded call stream. Call io does not assign You a telephone number and does not provide a dedicated or persistent caller ID. Interaction with callers occurs solely through forwarded inbound calls processed via Your operator or Telco Partners. Call audio is not recorded or stored, but may be processed in real time to provide the Services and generate AI-generated summaries or transcriptions, subject to the Privacy Policy.

 

  1. You acknowledge and agree that all outputs generated by the AI Assistant or Call io, including summaries, classifications, caller responses, call-handling decisions, recommendations, labels, and any other AI-generated content, may be incomplete, inaccurate, misleading, inappropriate, or fail entirely. AI processing is probabilistic and may misunderstand callers, misclassify intent, generate incorrect statements, or produce results that are not suitable for reliance in any personal, professional, commercial, legal, or safety-related context. Call io makes no representation, warranty, or guarantee regarding the accuracy, reliability, completeness, or suitability of any AI-generated output, and expressly disclaims any responsibility for decisions You take (or fail to take) based on such outputs. You use Call io and all AI-generated content entirely at Your own risk. Assistant Outputs, call-handling behavior, Outcall messages, Custom Greeting delivery, Memory-based responses, summaries and classifications may be inaccurate, incomplete, delayed, inappropriate, misunderstood, unavailable or fail entirely. You must not rely on the AI Assistant for emergency, safety-critical, legal, medical, financial or regulated communications. You remain responsible for reviewing and configuring the AI Assistant and for all consequences of instructions You provide. The User further acknowledges that, in connection with Outcall, AI errors may include mis-dialing, mis-stating User instructions, generating content not intended by the User, unintended call timing, premature termination, or unintended interaction with third parties (including persons not intended by the User). All such risks are inherent in AI processing. The User uses Outcall at the User's own risk and assumes full responsibility for the consequences, including against the called party and any third party.

 

  1. Where supported, the User may instruct the AI Assistant to place an outbound call to a third party ("Outcall") and to deliver a specified message or perform a specified conversational task. Outcall originates from the User's Assistant Number and is routed through Call.io's Telco Partners.  (b) The User is the sole instructing party in relation to any Outcall and is solely responsible for: (i) the lawfulness of placing the Outcall; (ii) obtaining all consents, opt-ins, registrations, disclosures and notices required by applicable law in the relevant jurisdictions, including the United States Telephone Consumer Protection Act of 1991 and FCC rules, do-not-call registries, robocall, autodial, telemarketing and prerecorded-call rules, EU and UK consumer-protection and ePrivacy rules, and similar laws elsewhere; and (iii) ensuring that the substance of any Outcall is accurate, non-deceptive, non-defamatory, non-harassing, non-discriminatory and not in violation of any third-party right.  (c) Call.io does not and cannot obtain caller-side consent on behalf of the User. The User shall indemnify Call.io for any claim, fine, penalty, surcharge or other liability arising from any Outcall.  (d) Outcall is not enabled in all countries, for all numbers, for all destinations, for all routes, for all Providers or for all Users, and may be subject to volume, frequency, destination, route, country and content limits at Call.io's sole discretion. Call.io may, at any time and without liability except as required by Applicable Law, suspend, throttle, block, restrict or terminate the Outcall feature, in whole or in part, including in response to abuse, regulatory exposure, Provider action, fraud, deceptive use, mass-calling, telemarketing, robocalling, harassment, impersonation, spam or unlawful campaigning.  (e) AI errors in connection with Outcall (including mis-dialing, mis-stating User instructions, generating content not intended by the User, or unintended call timing) are part of the inherent risk of AI processing as set out in these Terms. The User uses Outcall at the User's own risk and assumes full responsibility, including against the called party.

 

  1. The User may customise the opening and closing statements used by the AI Assistant during interactions with callers ("Custom Greeting"). The Custom Greeting is User Content and is provided, transmitted and used by Call.io solely on the User's instruction.  (b) The User is solely responsible for the Custom Greeting and shall not include any content that is profane, hateful, discriminatory, harassing, defamatory, deceptive, misleading, infringing, impersonating any real person or entity, promoting unlawful activity, constituting unlawful marketing, or otherwise violating Applicable Law or third-party rights.  (c) Call.io may, but is not obliged to, monitor, moderate, automatically filter, screen, refuse or remove any Custom Greeting, and makes no warranty that moderation will be complete, accurate or timely. Call.io reserves the right, at its sole discretion, to refuse, remove, edit, disable, replace with a default greeting, suspend, or terminate the Custom Greeting feature, the Subscription Plan, the Assistant Number or the User's account in connection with any Custom Greeting.  (d) The User grants Call.io a worldwide, royalty-free, non-exclusive licence to host, store, transmit, render in voice form, and otherwise process the Custom Greeting strictly to operate the Service, in accordance with the Privacy Policy.

 

  1. The User may notify Call.io of an operator change through the Platform. If the User's mobile telephone number has changed, Call.io may require the User to complete a verification process via Call.io's verification partner (currently VerifyKit) before the new number is associated with the User's account. The User acknowledges that the verification partner may process the User's phone number, OTP code, verification result and related metadata as set out in the Privacy Policy.   (b) Following successful verification, the User may sign in with the new mobile telephone number, and the User's account, conversation history, AI Assistant Memory, call summaries and usage records shall remain associated with that account.  (c) The User represents and warrants that any mobile telephone number provided to Call.io is correct, current, used by the User and not the property of any third party. The use of an inaccurate, misleading or third-party-owned number is prohibited and may result in suspension or termination of the User's account.

 

  1. Where supported, Call.io may, through a Numbering Provider, provision a single Assistant Number to the User for use during an active Subscription Plan. The availability, country, region, type, scope, functionality and characteristics of any Assistant Number may vary by jurisdiction, regulatory requirements, carrier and numbering arrangements, Numbering Provider availability, technical capabilities, anti-abuse controls and commercial considerations. The User may not select the country, region, area code, prefix or specific Assistant Number, and may not hold more than one Assistant Number per account, except where Call.io expressly states otherwise. The Assistant Number is not sold to the User and is licensed on a limited, revocable, personal, non-exclusive, non-transferable, non-sublicensable basis solely for use within the Service during an active Subscription Plan. The User acquires no ownership, title, goodwill, vested, proprietary or continuing right in or to any Assistant Number. Where the User shares the Assistant Number with third parties, calls placed to that number will be answered by the AI Assistant unless the User has configured a specific rule otherwise, and the User is solely responsible for the consequences of any such sharing. Call.io makes no representation, warranty or commitment that an Assistant Number will be available in any particular country, region or area, that any specific type of number will be provided, or that any Assistant Number, once provided, will remain available over time. Call.io may introduce, withhold, modify, restrict, suspend, reassign, replace or discontinue any Assistant Number, or any associated scope or functionality, at any time.

The User acknowledges and agrees that: (a) the Assistant Number is at all times owned and controlled by the relevant Numbering Provider and/or Call.io; (b) the User has no portability, port-out, retention, transfer, resale or sublicensing right in or to any Assistant Number; (c) Call.io makes no continuity guarantee in relation to any Assistant Number, and may change, replace, recycle, return to the Numbering Provider or otherwise dispose of the Assistant Number at any time, with or without notice, except where Applicable Law expressly requires otherwise; (d) the cessation of any Assistant Number does not entitle the User to any refund, credit, compensation, damage, account credit, or alternative number, except where required by Applicable Law; and (e) call history, voice messages, AI Assistant Memory and assistant conversation history are associated with the User's account and are not bound to any particular Assistant Number.

 

  1. The Assistant Number is assigned upon activation of the applicable Subscription Plan and is retained while the Subscription Plan is active.   (b) If a Subscription Plan renewal fails, a continuity period of three (3) days (the "Grace Period") shall apply, during which the Service shall continue to operate, including AI-assistant call answering, Outcall (where available), Token purchase and Token consumption.  (c) If the Subscription Plan has not been reactivated by the end of the Grace Period, the Assistant Number shall enter a suspended state for up to twenty-seven (27) further days (cumulatively, days four (4) to thirty (30) following the renewal failure), during which inbound calls to the Assistant Number may be terminated (hangup), Outcall shall be blocked, AI Assistant pickup shall not occur, and Token purchase may remain available but Token consumption may require an active or reactivated Subscription Plan.   (d) On or after day thirty-one (31), the Assistant Number may, at Call.io's sole discretion and without further notice, be released to a recycling pool, returned to the Numbering Provider or otherwise reassigned.    (e) If the User reactivates the Service after such release, Call.io may, in its sole discretion, attempt to reassign the same Assistant Number where it remains available; otherwise, a different Assistant Number may be provisioned. The User acquires no right to retain, port-out, reclaim, restore or be compensated for any Assistant Number under this clause.

 

 

  1. Your Representations and Warranties

 

  1. By accessing or using Call io, You expressly represent and warrant that:

 

  1. You are at least eighteen (18) years old and are accessing and using the Service on Your own behalf and not on behalf of any minor or person lacking legal capacity.

 

  1. You possess the authority to bind yourself with these Terms without violating any other agreement to which You are a party;

 

  1. Your use of Call io will comply with all applicable laws, regulations, and industry standards, including telecommunications, data protection, consumer protection, and export control requirements;

 

  1. You will not use Call io for any unlawful, abusive, fraudulent, or unauthorized purpose, nor will You facilitate any such activity by others;

 

  1. All information You provide to Call io is true, accurate, complete, and current, and You will promptly update any information that changes;

 

  1. You will not infringe, misappropriate, or otherwise violate any intellectual property, privacy, or other proprietary rights of Call io or any third party;

 

  1. You have full authority to activate and manage any carrier-level settings required for the operation of the Service (including call forwarding or conditional forwarding), and that You are legally permitted to allow the AI Assistant to interact with callers and process call-related data on Your behalf. To the extent required under applicable law, You are solely responsible for ensuring that any necessary caller notices or consents regarding such processing are obtained and maintained.

 

  1. Call io reserves the right to suspend or terminate Your access to Call io and delete Your account if You breach any of the foregoing representations or warranties, or if Call io determines, in its sole discretion, that You are not eligible to access or use the Services.

 

  1. You acknowledge and agree that it is Your sole responsibility to ensure that Your access to and use of Call io complies with all applicable local, national, and international laws, regulations, and licensing requirements. We make no representation or warranty regarding the legality of Your use of Call io in any jurisdiction, and You assume all risk and liability in this regard.

 

 

  1. Purchase and Payment Models

 

  1. The Services are provided on a subscription basis. Subscription Plans grant time-limited access to features of the Service, including AI Assistant functionality, call-handling automation, call summaries, Memory, and other available features published on the Platform. Subscription Plans do not include any telecommunications services; all carrier-level call forwarding, conditional forwarding, voicemail redirects, SMS costs, data usage and USSD operations are billed solely by the User’s own mobile operator or Telco Partners.

 

  1. Each Subscription Plan has a defined duration, feature scope, usage limits, and renewal period as displayed on the Platform at the time of purchase. Usage limits may include monthly call-handling allowances, AI processing quotas, or similar unit-based capacities. Any unused usage allowance expires at the end of each Subscription term and does not roll over.

 

  1. Subscription Plans renew automatically at the end of each billing period unless You cancel the Subscription Plan before the renewal date. By purchasing a Subscription Plan, You authorize Call io and its Merchant of Record to automatically charge the applicable recurring fees, taxes, and surcharges to Your selected payment method.

 

  1. Each Subscription Plan grants the User a defined Usage Limit. Usage Limits do not roll over between billing cycles and any unused Usage Limit shall expire at the end of the relevant cycle.  (b) Where the applicable Usage Limit for a particular Service component is exhausted, the User may, where supported, purchase Tokens to continue using that component. Tokens are: (i) one-time, prepaid, consumable in-app purchases; (ii) consumed automatically and without further per-event confirmation when the relevant Usage Limit has been depleted; (iii) consumed automatically in accordance with the applicable Token consumption methodology determined by Call.io from time to time, and any partial-unit usage may be rounded up (iv) bound to the User's account and not to any specific device or Assistant Number; (v) not refundable, not transferable, not exchangeable, not redeemable for cash and not stored value; (vi) not a subscription and not subject to automatic renewal; and (vii) not electronic money, payment instrument, wallet balance, prepaid card or other regulated payment product, and shall not be characterised as such for any regulatory or tax purpose.  (c) Tokens are consumed only for the specific Usage Limit category for which they are sold. Tokens shall not be consumed while a relevant Usage Limit is still available.   (d) If a Usage Limit is exhausted while a call (including an Outcall) is in progress and no Token is available, the call in progress shall complete; subsequent calls or Outcall attempts may be blocked.  (e) Where Token pricing is displayed in U.S. dollars, the actual amount charged to the User may be displayed and collected by the App Store or Google Play in the User's local currency in accordance with the relevant store's foreign-exchange and pricing rules.  (f) Tokens persist in the User's account until consumed, except where Applicable Law, fraud-prevention rules or these Terms expressly provide otherwise. Tokens may be purchased during a Grace Period or while an Assistant Number is suspended; consumption may require an active or reactivated Subscription Plan.

 

  1. Purchases on the Platform may be processed and billed by Zotlo (Z3P LLP) acting as our Merchant of Record and authorized reseller, or by another duly appointed intermediary (each a “Merchant of Record”). In such cases, payment is deemed made when the Merchant of Record successfully processes your transaction; your order confirmation/invoice will identify that Merchant of Record. The Merchant of Record may perform fraud screening, sanctions/KYC checks, or place temporary holds, and may manage chargebacks and reversals in accordance with card network rules and applicable law. All payments are governed by these Terms, the Payment, Cancellation and Refund Policy, and the Merchant of Record’s/processor’s applicable terms. Any approved refund will be processed via the original payment method by the relevant Merchant of Record and may take up to thirty (30) business days, subject to processor timelines

 

  1. Payment 

 

  1. By completing any Subscription purchase via the Call io Platform, You enter into a binding sales agreement with Call io, governed by these Terms of Service and applicable Policies.

 

  1. Call io may from time to time offer time-limited trial access to selected Subscription Plans or features. Eligibility, duration, and scope of trials are determined solely by Call io and may be subject to additional limitations.

 

  1. All fees for Subscription Plans are charged at the time of purchase or renewal using Your selected payment method. You authorize Call io and its authorized payment processors to charge all applicable recurring fees, taxes, duties, and surcharges associated with Your Subscription Plan.

 

  1. Call io accepts multiple forms of payment, including major credit/debit cards, digital wallets, and Platform billing options. You are solely responsible for complying with the terms of any third-party payment provider and for all charges incurred.

 

  1. Call io does not store payment credentials. All financial data is processed and stored exclusively by licensed third-party payment service providers engaged by the Merchant of Record.

 

  1. Prices, Plan availability, tax obligations, and regional surcharges may vary by jurisdiction and are subject to change at any time prior to purchase. You will be presented with a complete cost breakdown, inclusive of VAT and any applicable local charges, before confirming a transaction.

 

  1. Refunds and Cancellations

 

  1. If You purchase a Subscription Plan directly through Our website or via a Call io-approved payment method outside app stores, all sales are final once the Plan term begins. Except where required by Applicable Law, Call io does not offer refunds or credits for partially used billing periods, unused features, or early cancellation.

 

  1. For purchases made through the Apple App Store, Google Play Store, Call.io’s website, web checkout, a Merchant of Record, payment processor, authorized reseller, or any other approved sales channel, all billing adjustments, cancellations, renewals, reversals, chargebacks, and refund decisions are governed by these Terms, the applicable Payment, Cancellation and Refund Policy and the rules, terms, and procedures of the relevant platform, Merchant of Record, payment processor, or reseller. Call.io cannot modify, override, process, or influence any refund, cancellation, billing, or subscription decision made by Apple, Google, or any other third-party platform operator, Merchant of Record, payment processor, or reseller, except where expressly enabled by the relevant channel or required by Applicable Law. Uninstalling the app, deleting Your Call.io account, ceasing use of the Services, or losing access to the Services does not cancel any underlying purchase or subscription and does not entitle You to a refund. You must cancel any subscription through the applicable purchase channel, including the Apple App Store, Google Play Store, Call.io web account settings, payment portal, Merchant of Record flow, or any other cancellation method made available for that purchase. No refunds, credits, or compensation will be issued for accounts deleted, suspended, restricted, or terminated due to breach of these Terms, misuse of the Services, or violation of Applicable Law, except where required by Applicable Law. All charges include VAT or applicable taxes unless otherwise specified. You may not offset or withhold amounts owed to Call.io except where Your claims are undisputed or confirmed by a final court judgment.

 

  1. If You access a free trial for a Subscription Plan, You must cancel before the trial period ends to avoid being charged. Upon cancellation, trial access ends immediately and no refunds will be issued for subsequent charges.

 

  1. If You are a consumer in the EU or UK, by requesting activation of a Subscription Plan during the statutory withdrawal period, You expressly consent to immediate performance and acknowledge that You will lose Your withdrawal right once the Subscription Plan becomes available to You. After activation, refunds are not available except as required by Applicable Laws.

 

  1. If a charge related to a Subscription Plan is disputed, reversed, charged back, or suspected as fraudulent, Call io (or the Merchant of Record) may suspend or terminate the affected Subscription Plan and may offset any outstanding amounts due, subject to Applicable Laws.

 

  1. Refunds or credits are not available for issues arising from device incompatibility, carrier restrictions, incorrect call-forwarding settings, network outages, USSD failures, voicemail-redirect failures, or any operator-side limitation beyond Call io’s control.

 

  1. Registration, Activation, Compatibility, and Tax Obligations

 

  1. To access certain features of the Call io Platform or utilize the Services, You may be required to register for an account and provide specific information. During registration, you may be asked to provide information including, without limitation, your name, email address, organization, tax id, billing details, carrier name, and other data reasonably necessary to verify your identity or manage your account. Call io may, at any time, request additional information, documentation, or verification to ensure compliance with applicable law or internal security standards. Failure to provide requested verification may result in delayed provisioning, suspension, or cancellation.

 

  1. Call io may impose additional terms and conditions regarding account eligibility or access to particular features. We reserve the right to deny, suspend, or revoke account access at Our sole discretion.

 

  1. If authentication features such as passwords or one-time passwords (OTP) are enabled, You are solely responsible for safeguarding Your credentials. By using OTP, You agree to receive such messages from Call io. You must immediately notify Call io of any unauthorized access. To the extent permitted by law, You are fully responsible for all activities conducted under Your account.

 

  1. You are obligated to provide accurate, complete, and current registration information, and to promptly update it if there are changes (including Your contact details). Failure to do so may result in failed or delayed communications. Notices sent to the last provided contact information shall be considered valid.

 

  1. Any personal data submitted via the Platform is processed in accordance with applicable data protection laws and the Call io Privacy Policy.

 

  1. By registering, You consent to receive service-related communications, including alerts and notices, via the contact details provided to Call io.

 

  1. Call io may process anonymized and aggregated data, including usage metrics, for internal analysis and reporting, provided such data cannot be used to identify You personally.

 

  1. To use the Services, You must download and install the Call io application (where applicable), create an account, and maintain a stable internet connection. Call io is not responsible for failures caused by firewalls, blocked ports, carrier restrictions on VoIP, or other network-level limitations.

 

  1. You are responsible for any taxes, duties, or levies imposed in connection with Your purchase (excluding Call io’s own income taxes). Where applicable, You must report and remit such amounts directly to the appropriate authorities.

 

  1. Termination

 

  1. The right to use granted to You for use of the Services is effective until terminated. At any time, at Our sole discretion and without liability to You, with or without prior notice, Call io may modify, suspend, or discontinue all or any part of the Platform or Services, including features, content, or functionality, for any reason, such as if continued operation is no longer commercially viable. Upon termination, any AI-generated Memory, call summaries, labels, or Assistant Outputs associated with Your account may be deleted and may not be recoverable. Call io does not guarantee retention or retrieval of any data following termination. Carrier-level call forwarding, conditional forwarding, voicemail redirects, and USSD-based settings configured on Your device or operator account will not be automatically disabled upon termination; You remain solely responsible for disabling such settings directly with Your mobile operator. Call io shall have no liability for missed calls, misdirected calls, or any charges incurred due to Your failure to deactivate carrier-level forwarding.

 

  1. We may terminate Your access to the Platform, Services, or Your account immediately and without notice, delete or deactivate Your account and all related data, and/or terminate these Terms, in Our sole discretion and for any reason, including if You breach these Terms or violate any applicable law. Call io may also terminate Your account if Your usage of the AI Assistant creates or is likely to create regulatory, carrier, or legal exposure, misuses AI features, or generates unreasonable operational burdens on Call io or its Providers.

 

  1. You may terminate Your right to access or use the Services at any time by submitting a cancellation request through the Platform and removing the application from Your devices. Termination requests are subject to verification and may require additional communication from Your side to confirm identity and finalize the process. Termination will take effect only after such confirmation is completed and may take up to thirty (30) days from the date of Your request. Once processed and confirmed, termination is final and cannot be reversed. Termination of Your Call io account does not deactivate call forwarding or carrier-level settings configured on Your mobile line. You must manually disable all forwarding, redirection, and USSD settings with Your operator. You remain fully responsible for all resulting call charges, misrouting, or data usage until such deactivation is completed.

 

  1. Upon any termination of the User's account or the Subscription Plan, the Assistant Number may be suspended and released without further notice, and the User shall not be entitled to retain, port-out, reclaim, reactivate or be compensated for the Assistant Number, except where Applicable Law expressly provides otherwise. The User remains solely responsible for disabling carrier-level forwarding from the User's own mobile operator line and for any charges, missed calls or misrouted calls arising from any forwarding setting that the User has not disabled.

 

  1. You acknowledge that Call io’s decisions to limit access, suspend, or terminate Services or accounts may be based on confidential risk management and security criteria, and we are under no obligation to disclose these procedures or criteria.

 

  1. Call io shall not be liable for any loss, damage, or harm arising from suspension or termination of the Services or Your account, to the extent permitted by applicable law.

 

  1. Upon termination, all rights granted to You under these Terms shall immediately cease, and You must cease all use of the Services and delete or return all downloaded materials where practicable. Call io does not guarantee continued availability of any call logs, metadata, AI summaries, Memory, or Assistant Outputs following termination. All such data may be irreversibly deleted without further notice.

 

  1. Mass-Calling, Spam & Network Abuse

 

  1. Call.io may restrict, block, throttle, suspend or terminate any account, Assistant Number, Outcall route, campaign, Custom Greeting, call flow, feature or transaction without refund where Call.io detects or reasonably suspects unlawful, abusive, high-risk or carrier-sensitive activity, including robocalling, telemarketing without consent, do-not-call violations, TCPA violations, spam, fraud, harassment, impersonation, spoofing, deceptive communications, unlawful campaigns, mass calling, automated dialing, traffic stimulation, regulatory exposure or Provider sanctions.

 

  1. You are solely responsible for ensuring that all outbound calls comply with all applicable laws, regulations, and industry rules, including without limitation consumer-protection rules, consent-based calling rules, do-not-call requirements, privacy and data-protection laws, the Telephone Consumer Protection Act of 1991 (United States), and the rules and regulations of the Federal Communications Commission (United States), as well as any carrier registration or verification requirements in any applicable jurisdiction. You are solely responsible for obtaining any legally required caller notices or consents for the AI Assistant to interact with, respond to, or generate summaries about callers. Call io does not and cannot obtain such consent on Your behalf, and You assume all related legal obligations. Where Outcall is enabled, You may instruct the AI Assistant to initiate an outbound call and convey a message or interact with a recipient on Your behalf. You are solely responsible for all Outcall instructions, recipient selection, message content, timing, consent, disclosures and legal compliance. Call.io does not obtain consent on Your behalf and does not verify whether any recipient may lawfully be contacted.

 

 

  1. Call io may require documentation of consent, campaign registration, or intended use before restoring service. No refunds or credits will be issued in connection with suspensions based on abusive traffic. If abusive, unlawful, or policy-violating traffic is generated or attempted through the AI Assistant, Call io may permanently disable Your access and may report such activity to carriers, regulators, or relevant authorities where required. No refunds or credits will be issued for suspension or termination based on AI misuse.

 

  1. Without limiting the foregoing, in connection with mass-calling, robocalling, telemarketing, telecommunications fraud, caller-ID spoofing, impersonation, deceptive communication, harassment, unlawful campaigns or any other prohibited use, Call.io may, in its sole discretion and without liability except as required by Applicable Law, take any combination of the following actions: (i) throttle the User's calling capacity; (ii) block specific destinations, routes or countries; (iii) suspend the Outcall feature; (iv) suspend or release the User's Assistant Number; (v) suspend or terminate the User's Subscription Plan and account; and (vi) report the conduct to Telco Partners, Numbering Providers, regulators or law-enforcement authorities. No refund, credit or compensation shall be issued for any Token, Subscription Plan, Assistant Number or other entitlement on the basis of any such action.

 

 

  1. Force Majeure

 

Call io shall not be liable for any loss or damage arising from any event beyond Call io’s reasonable control, including, but not limited to natural disasters, fire, war, riots, labor disputes, civil disturbance, actions of government, power, network or other infrastructure failures, or equipment or software malfunction or large scale internet or carrier outages including failures or interruptions in internet backbone, cloud-service, or payment-gateway operations. (“Force Majeure”). For clarity, Provider actions, including abrupt cost increases, country shutdowns, regulatory orders affecting Providers, or loss of connectivity are included among the events that excuse performance as Force Majeure. For the avoidance of doubt, failures, interruptions, degradation, misrouting, blocking, throttling, or suspension caused by Telco Partners, mobile operators, carriers, AI model providers, or any upstream connectivity or technology partner shall constitute Force Majeure. Call io shall not be liable for any missed calls, failed forwarding events, AI processing delays, or unavailability of any feature resulting from such events.

 

  1. Entire Agreement

 

  1. These Terms, together with the Payment, Cancellation and Refund Policy, Privacy Policy, and any posted acceptable use/code of conduct, constitute the entire agreement for the Services and are incorporated by reference. If there is a conflict, these Terms prevail except that payment mechanics, credits, and refunds are governed by the Payment, Cancellation and Refund Policy.

 

  1. Amendment

 

Call io may amend/update these Terms at any time without any specific notice. The latest version of the Terms published on the Platform are applicable to all Users. You are responsible of checking the latest version published on the Platform. Updates to the Acceptable Use Policy, Privacy Policy, or Platform documentation may be made at any time and become effective upon publication. Your continued use of the Services following any update constitutes Your acceptance of the amended terms.

 

  1. Waiver

 

Any failure or delay in exercising any right, power or privilege Call io is granted under these Terms shall not be regarded as a waiver thereof.

 

  1. Assignment

 

  1. Any right and obligation of You under these Terms shall not be assigned or transferred to any third party without obtaining prior written consent of Call io.

 

  1. Call io, on the other hand, may assign or transfer any or all of its rights and obligations under these Terms to any third party without any need to obtain Your approval or consent. 

 

  1. Severability

 

In the event that any clause of these Terms is deemed invalid or unenforceable, the remainder of these Terms shall remain in full force and effect. The invalid portion of these Terms, on the other hand, shall be regarded as modified as closely as possible to the intent of Call io.

 

  1. International Availability

 

Availability of the Services, including specific features, Plans and language versions, varies by country and may change at any time. Availability may further depend on Telco Partners, mobile operators, and local carriers whose technical capabilities or restrictions may limit access to forwarding, conditional forwarding, voicemail redirection, or USSD activation features.

 

  1. Privacy

 

Please find our Privacy Policy for detailed information about how we collect, use and disclose the information/personal data given by You. Transfer and storage of information about You is governed by our Privacy Policy as well. Data security is provided by the Platform. However, You are responsible for any unauthorized access to Your information; abusing, storage, reproduction, sale, copying, as well as illegal use of Your information, contact information and other content. For clarity, call metadata, call summaries, AI-generated Memory, caller labels, timestamps, and Assistant Outputs constitute “User Content” under these Terms. Call io may process User Content through Third-Party AI Providers solely for the purpose of delivering the Services. You are solely responsible for obtaining any legally required caller notices or consents for such processing. Call io does not record or store call audio; processing is performed only on the call data delivered to the Service via forwarding.

 

  1. Code of Conduct 

 

  1. The Services offered through the Platform shall not be used for any purposes other than what is set out by the Company, in accordance with these Terms. In this regard, the Services are provided for and limited with personal, non-commercial, non-exclusive, limited, non-transferable use only. 

 

  1. Therefore, while accessing and/or using the Platform and the Services, (as an unrestrictive list) You are explicitly prohibited to and You shall NOT:

 

  1. Use the Platform and Services against any applicable laws, either local, federal, national, or international,

 

  1. Use the Services or Content to support, or engage in any illegal activities including, but not limited to, illegal gambling, fraud, money laundering, or terrorist activities,

 

  1. Use the Platform, Content or Services in a way that disrupt, adversely affect, prevent or obstruct provision of Services and use of Services by other users,

 

  1. Access without authorization to any Call io IP or Content to which You are not permitted to access or use,

 

  1. Make any commercial use of the Services and Content, develop third party applications benefiting from Our Services and Content,

 

  1. Copy, decompile, disassemble or reverse engineer any software that is a part of the Platform, Content and Services,

 

  1. Use any spider, robot, cheat utility, scraper, offline reader or any other automated means that accesses the Platform and Call io Content; use or launch any unauthorized script or other software; or upload any harmful software such as a virus or a Trojan horse,

 

  1. Attempt to interfere with or disable any features of the Platform, or create undue traffic or other burden on the Platform or related networks,

 

  1. Systematically retrieve any content or data from the Platform to create reference or compile such data to form a collection, compilation, database, or directory or use any infrastructure, software, application or other tool that acts as or constitute an information or data collection or transmission mechanism,

 

  1. Disclose private information pertaining to Platform, Services or the Company to third parties,

 

  1. Use the Platform to market, advertise or offer to sell goods or services,

 

  1. Falsify or delete any copyright management information, such as author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in the Platform or any material.

 

  1. Resell, sublicense, share, or re-route the Services (including via tethering for commercial traffic aggregation) except as expressly permitted.

 

  1. export/re-export the Services to prohibited destinations or parties.

 

  1. Use the AI Assistant to impersonate any real person or entity, mislead callers, fabricate identities, or engage in deceptive or manipulative conduct.

 

  1. Use the AI Assistant in a manner that misleads callers into believing they are interacting with a human, unless this is expressly permitted under Applicable Law and clearly disclosed to the caller in advance.

 

  1.  The User shall not use the AI Assistant or Outcall functionality for any unlawful, unauthorized, abusive, deceptive, spam, robocall, autodialed, prerecorded, mass-campaign, telemarketing, promotional, or similar outbound communication where such communication is prohibited or restricted by Applicable Law, carrier rules, consent requirements, do-not-call requirements, or recipient preferences. The User is solely responsible for the purpose, recipient selection, timing, content, legality, notices, consents, opt-ins, registrations and opt-out mechanisms applicable to any Outcall. Call.io does not obtain consent or verify lawful contactability on the User’s behalf.

 

  1. Use the Services to bypass, evade, or manipulate carrier policies, call-forwarding restrictions, registration requirements, or call screening systems.

 

  1. Use the AI Assistant to generate or convey misleading or false information to callers.

 

 

  1. Any prohibited use of the Platform and Services may have serious legal and contractual consequences, including but not limited to the termination of Your use of Our Services, deletion of Your account, compensation of damages.

 

  1. Call io may suspend or terminate accounts, and take other actions it deems necessary to enforce these rules and protect the Platform integrity.

 

  1. Call io reserves the right, and may be legally required, to monitor, investigate, and report any suspected unlawful, abusive, fraudulent, or prohibited activity related to the Platform or the Services to competent governmental, regulatory, or law enforcement authorities. To the extent permitted by applicable law, Call io may disclose relevant user information, transaction records, or communication logs to such authorities or to third-party compliance service providers assisting in fraud prevention, sanctions screening, or anti-money-laundering compliance. You acknowledge and agree that Call io shall not be liable for any disclosure or action taken in good faith under this clause, and that such disclosures may be made without prior notice to You if required or authorized by law. All disclosures under this section shall be made in accordance with the Privacy Policy and applicable data-protection law.

 

  1. You further represent and warrant that You are not (i) located in, ordinarily resident in, or accessing the Services from any jurisdiction or territory that is subject to comprehensive trade or economic sanctions or embargoes, or (ii) a person, entity, or organization listed on any sanctions-related restricted party list maintained by the European Union, the United Kingdom, the United States, or other applicable authorities. You shall not use the Platform or Services in violation of any applicable export control, sanctions, or anti-boycott laws or regulations.

 

  1. Call io and the relevant Merchant of Record reserve the right to reject, suspend, or cancel any transaction, and to withhold or deny any refund, replacement, or service delivery, if doing so would expose either party to a violation of such laws or regulations. Any approved refund will be processed through the original payment method by the relevant Merchant of Record and may take up to thirty (30) business days, depending on the payment processor’s policies.

 

  1. Risk Disclosure

 

  1. Access to the Services, including call forwarding, conditional forwarding, AI call handling, and delivery of summaries, depends on third-party mobile operators, Telco Partners, internet connectivity, and AI processing. These components may degrade, fail, block, or become temporarily unavailable due to network congestion, operator restrictions, maintenance, or misrouting. Call io does not guarantee that calls will be forwarded, answered, summarized, or processed correctly.

 

  1. The Call io Platform, user interface, and any related documentation or communications may contain inaccuracies, omissions, or outdated information regarding device compatibility, supported carriers, pricing, or country coverage. Call io does not guarantee the accuracy, completeness, or reliability of any AI-generated summary, label, Memory entry, or Assistant Output. All AI results are provided “as is” and must not be relied upon as accurate, factual, or complete.

 

  1. Call io relies on third-party carriers, VoIP transport providers, and technology partners to deliver connectivity. Termination of our partnerships, material changes to their terms, network outages, regulatory interventions, or technological shifts may impair or suspend Your access to the Services.

 

  1. You expressly accept that neither Call io nor its partners guarantee continuous service, and that You may experience service interruptions or degraded performance beyond Our control. You acknowledge that AI models may misunderstand callers, misclassify intent, generate incomplete summaries, or produce unexpected or inaccurate outputs. You use these outputs entirely at Your own risk.

 

  1. In the event of any dispute with other users, carriers, or content providers regarding Services, Plans or calls, You release Call io and its affiliates from all claims, liabilities, costs, and damages arising out of or relating to such disputes. To the maximum extent permitted by law, you release us from claims arising from disputes with other users or Providers related to Plans or usage.

 

  1. We do not guarantee that Our Services will always be available or be uninterrupted. You are responsible for making all arrangements necessary for You to have access to Our Services. Call io is not responsible for carrier-level failures, including call forwarding not activating, delayed USSD propagation, voicemail interception, or caller ID suppression.

 

  1. We do not represent that Our Services will be available in other jurisdictions. We may limit the availability of Our Services or specific functionality to any user or geographic area at any time. You assume all risk and responsibility for compliance with any applicable telecommunications, data privacy, consumer protection, export control, or other laws associated with your use of the Service. You are solely responsible for determining whether Your use of AI call handling, summary processing, or call-forwarding features complies with applicable telecommunications, privacy, call-recording, notice, and consent laws in Your jurisdiction.

 

  1. Your Obligations

 

  1. Without prejudice to the Terms of Service, Your obligations are as follows:

 

  1. Use the Service in compliance with these Terms of Service and to be responsible for all use of the Service from Your account,

 

  1. Submit true, accurate, and complete registration information, and to keep such information up-to-date,

 

  1. Keep the password confidential at all times and will be responsible for all use of the account and password. We reserve the right to remove, reclaim, or change a username You select if we determine, in Our sole discretion, that such username is objectionable,

 

  1. Use the Service in accordance with all applicable laws and regulations of the home nation, the country of residence, and the country in which You are present when the Service is being used by You,

 

  1. You agree that You are solely liable for the use of any prohibited and/or restricted services under any applicable laws and regulations of Your home nation, country of residence, and the country in which You are present when using the Services. You agree and accept to indemnify and hold Call io harmless from any and all claims arising from and/or in relation to such use.

 

  1. You agree that You are solely responsible for complying with any applicable telecommunications, data privacy, consumer protection, export control, or other laws associated with Your use of the Service.

 

  1. You agree that the Service shall be used for personal consumption only,

 

  1. You agree that the Service shall not be used to engage in any action that is abusive, illegal or fraudulent or that causes the network to be impaired or damaged,

 

  1. You agree that the credits, promotions and referrals for the Services (the “Program”) shall not be used to undermine the fairness, integrity or legitimate operation of the Program, including, but not limited to, creating fake accounts or using fictitious identities to participate in the Program or receive rewards, or selling or transferring Program benefits. Call io, in its sole discretion, reserves the right to disqualify You from the Program and future use of Our Services.

 

  1. You agree that Call io may suspend Your use of the Service in case of breach of the above obligations, and that You will continue to be liable and shall pay all charges due under these Terms of Service in respect of the suspended Services. Do note that any attempt to deliberately damage or undermine the legitimate operation of the Services and the Program may be in violation of criminal and civil laws, 

 

  1. You acknowledge that Call io reserves the right to seek remedies and damages (including attorney fees) to the fullest extent of the law, including criminal prosecution.

 

  1. You are solely responsible for configuring, enabling, maintaining and disabling call forwarding, conditional forwarding, voicemail redirects, USSD activation codes and any carrier-level settings required for the operation of the Services on Your device and mobile line. Call io does not control or manage these settings on Your behalf.

 

  1. You acknowledge that the Services depend on Your mobile operator, Telco Partners, carrier network conditions, forwarding capabilities and device configuration; You are solely responsible for ensuring that Your mobile plan, carrier and device support call forwarding, conditional forwarding, missed-call redirection and any other features required for the Services to function.

 

  1. You agree that You are solely responsible for all charges, fees, deductions or surcharges imposed by Your mobile operator or Telco Partners in connection with call forwarding, network usage, voicemail redirection, USSD activation, missed-call alerts or data consumption required for the Services.

 

  1. You acknowledge and agree that Call io does not record or store call audio and that the AI Assistant only processes call data to generate summaries, labels, Memory entries and other Assistant Outputs. You are solely responsible for obtaining and maintaining any legally required caller notices, permissions or consents for such processing under applicable law.

 

  1. You agree to disable call forwarding, conditional forwarding and any related carrier-level activation on Your line when You stop using the Services or terminate Your account. Call io is not responsible for any continued forwarding, charges or consequences arising from settings left active on Your line after termination.

 

  1. You are solely responsible for informing callers, before or at the start of any interaction, to the extent required by Applicable Law, that the call may be answered, handled, or interacted with by an AI-based assistant, and not a human, and that call audio, caller input, and related metadata may be processed to generate summaries, classifications, or other Assistant Outputs.

 

  1. You are solely responsible for providing any legally required notices to callers regarding their rights in relation to such AI-based processing (including, where applicable, information on data-processing purposes, legal bases, retention and available rights), and for ensuring that any mandatory disclosures are made in a clear and compliant manner in the appropriate language(s).

 

  1. Indemnification

 

  1. You agree to defend, indemnify and hold harmless Call io, its parent and subsidiary companies, its Merchants of Record and payment processors, and each of their respective officers, directors, employees, agents, partners and licensors (collectively, the “Indemnified Parties”) from and against any and all losses, liabilities, damages, fines, penalties, costs and expenses (including, without limitation, reasonable attorneys’ fees and court costs) arising out of or relating to any third-party claim, action or proceeding brought against an Indemnified Party to the extent that such claim is based upon or arises out of:

 

  1. Your breach or alleged breach of these Terms or any representation, warranty or covenant made by You herein;

 

  1. Your use of (or inability to use) the Service, including any data or content You submit, post or transmit;

 

  1. Any violation by You of applicable law, regulation or the rights of any third party (including intellectual property, privacy or publicity rights);

 

  1. Your negligent, wilful or reckless act or omission in connection with your use of the Service;

 

  1. Your deployment or use of any automated data-gathering or extraction tools (e.g., bots, spiders, crawlers) that impose an unreasonable load on Our infrastructure; or

 

  1. Any harmful, harassing or illicit conduct by You toward another user of the Service.

 

  1. Any claim, investigation, fine or penalty arising from Your failure to obtain caller consent or provide caller notice where required under applicable telecommunications, privacy or call-recording laws in relation to the AI Assistant’s processing of call data and generation of summaries or Memory.

 

  1. Any regulatory inquiry, carrier enforcement action, penalty, surcharge or suspension arising from Your call forwarding configuration, traffic patterns or other use of the Services that violates or is alleged to violate carrier rules, Telco Partner policies or local regulations.

 

  1. You will (a) promptly notify the Indemnified Parties in writing of any claim for which indemnification is sought; (b) grant the Indemnified Parties sole control over the defense and settlement of such claim (provided that no settlement may impose any liability or obligation on an Indemnified Party without its prior written consent); and (c) cooperate fully, at Your expense, with the Indemnified Parties’ reasonable requests in connection with the defense and settlement of the claim. The Indemnified Parties reserve the right, at Your expense, to assume exclusive control of such defense.

 

  1. Intellectual Property Rights

 

  1. The Platform is the proprietary property of the Company and all content therein including but not limited to signs, text, graphics, pictures, information, data, software, sound files, source codes, databases, functionality, website designs, audio, video, text, photographs, and graphics and the trademarks, service marks, and logos (collectively, the “Call io IP”) are owned by us and/or licensed to us and/or controlled by us; and are protected through various intellectual property rights.

 

  1. The Call io IP is provided on the Platform for the permitted use only, in accordance with these Terms. Therefore, copying, reproducing, republishing, uploading, aggregating, publicly displaying, encoding, translating, distributing, selling, licensing, reverse engineering or in any other way exploiting any part of the Platform and/or Call io IP for any unauthorized and prohibited purpose, without express prior written permission of the Company is strictly prohibited.

 

  1. You are granted a limited use right to access and use the Call io IP, Platform and Services, provided that You are eligible to under these Terms. However, Call io, at any time, reserves the right to terminate Your access to the Platform, the Services, the Call io IP and if applicable revoke the use rights or licenses provided.

 

  1. It is prohibited to give unauthorized links to the Platform and the Services as well as framing of any information contained on the Platform or any portion of the Platform. If any unauthorized link or framing is detected, Call io reserves the right to disable the unauthorized links or frames right away or request for the link to be removed. 

 

  1. In any event, Call io shall not be held responsible or liable for any material on third party websites which contains link to the Platform and the Services. Similarly, Call io has no responsibility or liability for framing of any information contained on the Platform or any portion of the Platform.

 

  1. It is prohibited to develop any third party applications that interact with Our Services or integrate Our Services into any third party applications through application programming interfaces (API) unless such license is explicitly granted. Separate license terms shall be executed in order for Call io to grant any such license.

 

  1. AI-generated summaries, call labels, Memory entries and other outputs produced by the AI Assistant (collectively, “Assistant Outputs”) remain the intellectual property of Call io and are licensed to You on a limited, personal, non-exclusive, non-transferable basis for use solely in connection with the Services. You may not use Assistant Outputs to train, develop or improve any external artificial intelligence models or datasets, nor may You resell, sublicense or otherwise commercialize Assistant Outputs without Call io’s prior written consent.

 

  1. Disclaimer of Warranties

 

YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. YOU ACKNOWLEDGE THAT YOUR USE OF CALL IO, INCLUDING THE PLATFORM AND ALL ASSOCIATED SERVICES AND CONTENT, IS AT YOUR SOLE RISK. CALL IO IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CALL IO AND ITS AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, OR UNINTERRUPTED OPERATION.

 

CALL IO MAKES NO REPRESENTATION OR WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, OR BE COMPATIBLE WITH YOUR DEVICES, SOFTWARE, OR NETWORK ENVIRONMENT. CALL IO DOES NOT WARRANT THAT THE SERVICES OR ANY CONTENT OBTAINED THROUGH CALL IO IS FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS. WHILE CALL IO IMPLEMENTS COMMERCIALLY REASONABLE TECHNICAL AND ORGANIZATIONAL SAFEGUARDS CONSISTENT WITH INDUSTRY STANDARDS, NO SYSTEM OR NETWORK IS COMPLETELY SECURE OR ERROR-FREE. YOU USE THE SERVICES AT YOUR OWN RISK AND ARE SOLELY RESPONSIBLE FOR MAINTAINING APPROPRIATE DATA BACKUPS, SECURITY CONFIGURATIONS, AND PROTECTIVE MEASURES ON YOUR DEVICES AND NETWORKS. YOU ARE RESPONSIBLE FOR IMPLEMENTING AND MAINTAINING APPROPRIATE DEVICE AND NETWORK SECURITY (E.G., OS UPDATES, ANTI-MALWARE, SECURE NETWORK CONFIGURATION) AND FOR SAFEGUARDING YOUR ACCOUNT CREDENTIALS AND ANY ACCESS TOKENS OR AUTHENTICATION CODES USED WITH THE SERVICES. CALL İO IS NOT LIABLE FOR ANY LOSS ARISING FROM YOUR FAILURE TO DO SO.

 

YOU UNDERSTAND AND AGREE THAT CALL IO IS NOT RESPONSIBLE FOR ANY THIRD-PARTY CONTENT, APPLICATIONS, OR SERVICES ACCESSIBLE THROUGH CALL IO, AND THAT ANY DEALINGS WITH THIRD PARTIES ARE AT YOUR OWN RISK. CALL İO DOES NOT REVIEW, ENDORSE, OR ASSUME LIABILITY FOR ANY THIRD-PARTY MATERIALS, AND YOU ASSUME ALL LIABILITY FOR INTERACTIONS WITH THIRD-PARTY PROVIDERS OR USERS.

 

YOU ACKNOWLEDGE THAT THE INTERNET, MOBILE NETWORKS, AND TELECOMMUNICATIONS SYSTEMS ARE INHERENTLY INSECURE AND SUBJECT TO INTERRUPTION, INTERCEPTION, LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS BY THIRD PARTIES. CALL IO MAKES NO WARRANTY OR REPRESENTATION, EXPRESS OR IMPLIED, REGARDING (I) THE SECURITY OF ANY TRANSMISSION OF DATA OR COMMUNICATIONS THROUGH PUBLIC OR PRIVATE NETWORKS; (II) THE PREVENTION OF UNAUTHORIZED ACCESS, HACKING, MALWARE, OR OTHER SECURITY BREACHES; OR (III) THE INTEGRITY OR CONFIDENTIALITY OF ANY DATA TRANSMITTED, STORED, OR OTHERWISE PROCESSED THROUGH THE SERVICES.

 

CALL IO IS UNDER NO OBLIGATION TO PROVIDE MAINTENANCE, SUPPORT, OR UPDATES EXCEPT AS EXPRESSLY STATED IN THESE TERMS; ANY SUPPORT PROVIDED IS AT CALL IO’S SOLE DISCRETION.

 

YOU ACKNOWLEDGE AND AGREE THAT IT IS YOUR SOLE RESPONSIBILITY TO ENSURE THAT YOUR ACCESS TO AND USE OF CALL IO COMPLIES WITH ALL APPLICABLE LOCAL, NATIONAL, AND INTERNATIONAL LAWS, REGULATIONS, AND LICENSING REQUIREMENTS. CALL IO MAKES NO REPRESENTATION OR WARRANTY REGARDING THE LEGALITY OF YOUR USE OF CALL IO IN ANY JURISDICTION, AND YOU ASSUME ALL RISK AND LIABILITY IN THIS REGARD.

 

CALL IO EXPRESSLY DISCLAIMS ANY LIABILITY FOR LEGAL COMPLIANCE OR NON-COMPLIANCE BY USERS. UNDER NO CIRCUMSTANCES SHALL CALL İO BE RESPONSIBLE FOR DETERMINING OR ENSURING THAT YOUR ACCESS TO OR USE OF THE SERVICES CONFORMS TO ANY LEGAL OR REGULATORY REQUIREMENTS IN ANY JURISDICTION.

 

YOU UNDERSTAND AND AGREE THAT THE AI ASSISTANT MAY MISUNDERSTAND CALLERS, MISCLASSIFY INTENT OR GENERATE INACCURATE, INCOMPLETE, DELAYED OR UNEXPECTED OUTPUTS, INCLUDING SUMMARIES, LABELS AND MEMORY ENTRIES. ALL ASSISTANT OUTPUTS ARE PROVIDED “AS IS” AND USED AT YOUR SOLE RISK, AND CALL IO MAKES NO WARRANTY AS TO THEIR ACCURACY, COMPLETENESS OR SUITABILITY FOR ANY PURPOSE.

 

TO THE EXTENT THAT ANY WARRANTY CANNOT BE DISCLAIMED UNDER APPLICABLE LAW, SUCH WARRANTY SHALL BE LIMITED IN DURATION TO THE SHORTEST PERIOD PERMITTED BY LAW.

 

  1. Limitation of Liability

 

In no event shall Call io or its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, punitive, or consequential damages, including without limitation lost profits, data loss, business interruption, or loss of goodwill, arising out of or related to these Terms or Your access to or use of the Services, even if Call io has been advised of the possibility of such damages.

 

Notwithstanding the foregoing, Call io’s total aggregate liability for any and all claims arising out of or relating to these Terms or the Services, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the greater of (a) the total amount of fees actually paid by You to Call io for the specific Services giving rise to the claim in the one (1) month preceding the claim, or (b) five U.S. dollars (USD 5).

 

The limitations and exclusions set forth above shall not apply to liability that cannot be limited or excluded by applicable law, including liability for death or personal injury caused by Call io’s negligence, fraud, willful misconduct, or any other liability that cannot be excluded or limited under applicable law.

 

You acknowledge that these limitations of liability are fundamental elements of the agreement between You and Call io, and that Call io would not be able to provide the Services on an economic basis without such limitations. Call io is under no obligation to provide maintenance, support, or updates except as expressly stated in these Terms. Any support provided is at Call io’s sole discretion.

 

You acknowledge and agree that it is your sole responsibility to ensure that your use of Call io complies with all applicable local, national, and international laws, regulations, and licensing requirements. Call io makes no representation or warranty regarding the legality of your use of Call io in any jurisdiction, and You assume all associated risk and liability.

 

Call io shall not be liable for any missed calls, failed or delayed call forwarding, voicemail routing failures, AI Assistant unavailability, misclassification of callers or inaccurate Assistant Outputs, to the extent such events arise from mobile operator behaviour, Telco Partner limitations, device misconfiguration, network congestion, outages or any other factors beyond Call io’s reasonable control.

 

  1. Applicable Law and Jurisdiction

 

  1. These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws rules.

 

  1. The courts of England and Wales shall have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms. 

 

  1. Third Party Contents

 

  1. There may be references and links to third party websites and applications on the Platform and/or You may view content provided by third party websites and applications while using the Services (“Third-Party Content”). 

 

  1. We have no control over Third Party Content. You hereby acknowledge and agree that Call io has no responsibility to examine, control, endorse or monitor any Third-Party Content. Third Party Content may be misleading, incomplete, erroneous, offensive or indecent. When You click on a link to, or access and use, a third-party website or third-party application, though we may not warn You that You have left Our Service, You are subject to the terms and conditions (including privacy policies) of another website or destination. We are not responsible or liable for any third-party websites, third party applications, and third-party materials. You shall use all links at Your own risk.

 

  1. You view Third Party Content at Your own risk and Call io will not be held liable for any loss or damage arising out of Third-Party Content or services. 

 

  1. It is Your responsibility to read and accept the terms and conditions and policies of any third-party website or application.

 

  1. For the avoidance of doubt, mobile operators, carriers, Telco Partners and third-party AI providers used in connection with the Services constitute Third Parties under this section 23. Call io is not responsible for their performance, availability, routing behaviour, pricing, technical limitations or any changes they may make to their services, and You use such third-party services at Your own risk.

 

  1. Language and Translation

 

These Terms are originally drafted in English. Any translation of these Terms into another language is provided solely for convenience. In the event of any conflict, inconsistency, or ambiguity between the English version and any translated version, the English version shall govern and prevail. The English version shall be used in all legal or administrative proceedings.

 

  1. Notices

 

We may provide notices via email to your provided email to us or via in-product messaging. Notices are deemed received when sent (email) or when posted (Platform). You must keep your contact details current.
